Terms of Service

The Design Drop is a boutique AI-powered design agency operated by Jessica Otano and Tiffany Trithardt, doing business as The Design Drop, based in Grand Forks, British Columbia, Canada. We can be reached at thedesigndropofficial@gmail.com.

The Design Drop offers monthly subscription plans at the following rates:

• The Seed — $100 per month
• The Drop — $300 per month
• The Studio — $600 per month
• The Agency — $1,200 per month
• The Full Drop — $1,800 per month

Each tier includes a defined set of monthly deliverables as described on our website at the time of purchase. All subscriptions are month to month. There are no long-term contracts.

Every active subscription includes access to your monthly deliverables as outlined in your chosen tier. A custom-designed landing page is included at no additional charge with any active subscription. Ownership of that landing page is subject to the terms described below.

We will design and deliver your landing page within the first 30 days of your subscription start date.

Until you have paid a cumulative total of $600.00 CAD to The Design Drop across any combination of subscription payments, your landing page remains the property of The Design Drop. We host and maintain it on your behalf during this period, and you are granted a limited licence to use it for your business while your subscription is active and payments are current.

Once your cumulative payments reach $600.00 CAD, full ownership of the landing page — including all files, source code, and design assets — transfers to you. We will confirm this transfer in writing and provide you with all associated files.

If you cancel your subscription before reaching the $600.00 CAD threshold, your landing page will be deactivated and the files will not be transferred. Payments already made are non-refundable.

If your subscription lapses due to non-payment, we reserve the right to deactivate your landing page until your account is brought current. We are not liable for any business losses resulting from deactivation due to non-payment.

Your subscription fee is due on the same date each month as your original start date. Payment is currently accepted via e-transfer to thedesigndropofficial@gmail.com. We reserve the right to introduce additional payment methods and will notify you in advance of any changes.

You have a 5 business day grace period after your due date before a late fee is applied. If payment is not received within that grace period, a $25.00 CAD late fee will be added to your outstanding balance and services may be suspended until your account is paid in full.

All fees are in Canadian dollars and are exclusive of applicable taxes. The Design Drop is not currently registered for GST/HST. Upon registration, GST/HST will be added to all invoices and you will be notified in advance.

The monthly rate you agree to at the time of sign-up is locked in for as long as your subscription remains active and all payments are made on time. A missed payment beyond the 5 business day grace period breaks your price lock. Following reinstatement, we reserve the right to reprice your subscription at our then-current rates. If you cancel and re-subscribe at a later date, you will be subscribed at the rates in effect at that time.

We reserve the right to increase pricing at any time with a minimum of 30 days written notice. Clients with an active price lock are exempt from increases for the duration of that lock.

Monthly deliverables do not carry over. Unused graphics, revision rounds, or any other included deliverables expire at the end of each billing month and have no cash value. Your monthly fee is due regardless of whether you have submitted requests or used your deliverables for that month.

You are responsible for initiating all design requests. We do not generate concepts or begin work independently. While we may occasionally share an idea or creative suggestion as a courtesy, this is not a standard service and you should not rely on it.

All design requests must be submitted using our official Design Drop Request Form, emailed to thedesigndropofficial@gmail.com. Requests made through social media, phone, or any other channel are not considered official and will not trigger our turnaround clock.

Our 5 business day turnaround begins only once you have submitted a complete request form and answered any clarifying questions we have sent back to you.

Each deliverable includes the number of revision rounds specified in your tier. Revision requests must be submitted within 5 business days of receiving your deliverable. Additional revision rounds beyond what is included may be available at our discretion and will be quoted in writing before any additional work begins.

If you provide us with logos, photos, written content, or any other materials for use in your designs, you confirm that you own or have the legal right to use those materials. You agree to indemnify and hold harmless The Design Drop, Jessica Otano, and Tiffany Trithardt against any claims, costs, or legal fees arising from the use of materials you have provided that infringe on the rights of a third party.

By subscribing, you grant The Design Drop a perpetual, royalty-free, irrevocable licence to display and promote all work we create for you in our portfolio, social media, website, and marketing materials without requiring further consent.

You may upgrade your subscription tier at any time before your next billing date. The new rate takes effect from your next billing cycle.

You may downgrade your subscription tier with 30 days written notice to thedesigndropofficial@gmail.com. Your current rate remains in effect through the notice period.

All payments made across any tier count toward your cumulative $600.00 CAD landing page ownership threshold, regardless of which tier they were made under.

You may cancel your subscription at any time by sending 30 days written notice to thedesigndropofficial@gmail.com. You remain responsible for your final month's payment within that notice period. Services continue through your last paid month and end thereafter.

If you cancel before reaching the $600.00 CAD landing page ownership threshold, your landing page will be deactivated at the end of your final paid month. If you have already reached the threshold, your landing page ownership is yours to keep.

We reserve the right to cancel your subscription immediately in the event of non-payment, abusive conduct, or material breach of these terms. In the event we cancel without cause, any prepaid fees for undelivered services will be refunded on a pro-rated basis.

We are not liable for delays or failure to deliver services caused by circumstances beyond our reasonable control, including illness, family emergency, natural disaster, power or internet outages, or any other event outside our control. Billing continues during such events. We will notify you as soon as reasonably possible and resume services promptly once the situation has resolved.

Our total liability to you under these terms shall not exceed the total fees you have paid to us in the three months immediately preceding any claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or business opportunities.

We reserve the right to update these Terms of Service at any time. Changes will be posted on our website with an updated date at the top of this page. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.

These terms are governed by the laws of the Province of British Columbia, Canada. Any disputes are subject to the exclusive jurisdiction of the courts of British Columbia.
